• partner is declared a lunatic or insane
  • partner is incapable of performing his part in the partnership contract
  • partner guilty of conduct that prejudices the business
  • partner commits breach of partnership agreement
  • partnership can only be carried on at a loss
  • other circumstances that render dissolution equitable
A court will not grant a dissolution when D's own conduct gave rise to the request. D's conduct prejudiced the business.
