Generally the promoter is personally liable if contract wtih a third party and the corporation never formed or breaches the contract, EVEN if he makes it clear that he only wants to bind himself as an agent of the corporation because one cannot be an agent for non-existent principal. EXCEPTION: novation - agreement by third party that they will only look to the corporation of liability and not the promoter
