business decisions made upon reasonable information and with some rationality do not give rise to directoral liability even if they turn out badly or disastrously from the standpoint of the corporation

a director who makes a business judgment in good faith fulfills the duty of care if the director or officer is not interested in the subject of his business judgment, is informed, rationally believes that his decision is in the best interests of the corporation.
