A device employed by shareholders to assure control of voting whereby each shareholder transfers legal title of his shares to a trustee and the trustee votes all the shares in accordance with instructions in the document establishing the trust.

The transfer of voting rights must be recorded on the corporate books.
Unless otherwise specified, voting trusts are generally transferable.
Most states limit the duration of a voting trust to 10 years.
