- deadlock in the management of the corporation and there is the threat of irreparable injury
- if shareholders are deadlocked in management and fail to elect director for two years
- if the acts of the directors are illegal, oppressive, or fraudulent
- if the corporate assets are being misapplied or wasted
Must have standing:
- one half or more of the directors in office
- the shareholders representing not less than one third of outstanding shares OR outstanding common shares OR equity of the corporation
