1. state must show that out-of-staters are a "peculiar source of the evil"
  2. state must show that the statute is substantially related to the particular evil the out of staters represent (state must show there are no less discriminatory alternatives that would adequately address the problem)
Remember there is NO market participant exception for the Privileges and Immunities Clause (unlike commerce clause).
